We Operate Under Sound Principles of Corporate Governance
We have processes and standards in place to ensure we comply with the legal and financial reporting standards required in each of the jurisdictions where we operate. We work to identify opportunities to improve and solicit feedback from our stakeholders. Additionally, as part of our governance charter, our Board of Directors evaluates management’s ESG practices.
Our Code of Ethics and Business Conduct (the Code) is consistent with the principles promoted by the Responsible Business Alliance emphasizing compliance, transparency, whistleblower protection, and avoidance of any business practices that could contribute to corruption, bribery, or conflicts of interest. Specifically, the Code outlines and promotes the following core values:
- Honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest between personal and professional relationships
- Full, fair, accurate, timely, and understandable disclosure in the reports and documents we file with or submit to the U.S. Securities and Exchange Commission and in our other public communications
- Compliance with applicable laws, rules, and regulations
- Prompt internal reporting of violations of the Code
- Accountability for adherence to the Code
The Code applies to all our executive officers, directors, and employees. We expect all third parties we do business with — including consultants, contractors, and other service providers — to act in a manner consistent with the Code.
We work to achieve the highest standards of ethical conduct in all business dealings. Our policies guide how we conduct ourselves in our relationships with customers, competitors, vendors, government regulators, and fellow employees. To maintain standards of the highest caliber, we perform regular audits of our ethical standards. We evaluate the operation, adequacy, and effectiveness of our ethical standards from time to time, including the Code of Ethics and Business Conduct, the Bribery and Anti-Corruption Policy, the Vendor Code of Conduct, and the Code of Social Responsibility.
We provide the Code of Ethics and Business Conduct, the Bribery and Anti-Corruption Policy, and the Code of Social Responsibility (the “Employee Codes”) to all our employees, including part-time employees and contractors, and provide trainings to allow employees to become familiar with and abide by the policies therein. New employees must attend an initial compliance and ethics training on the Employee Codes and sign an acknowledgment form confirming that they have read, understand, and agree to comply with such policies. On an annual basis, all employees receive the whistleblower policy and whistleblower hotline information. We also conduct a sample audit to ensure their awareness. From our leadership to our frontline sales teams, we each commit to responsible and ethical business practices.

We offer trainings that cover a variety of topics, including but not limited to: conflicts of interest; bribery and anti-corruption; whistleblower mechanisms and protections; discrimination and harassment; and environmental and social responsibility.
Each year, we communicate with all employees and managers about the importance of ethics and legal compliance. Our commitment to promote a culture of integrity means that we aim to foster an environment where each employee is expected to act ethically and can voice concerns without fear of retaliation. Because we are committed to a strong workplace culture that provides effective grievance mechanisms for our employees, we utilize a corporate hotline hosted by an independent third party, Lighthouse Services. Any employee can register a confidential and anonymous complaint using this hotline concerning topics about accounting, internal controls, auditing, suspected conflicts of interest, or any other matter.

Any employee reporting concerns under the whistleblower procedures has a lawful right to raise those concerns without fear of harassment, discrimination, or retaliation. As a result, we strictly prohibit any discrimination, retaliation, or harassment against any person who reports conduct in violation of our legal duties or policies, based on the person’s reasonable belief that such misconduct occurred. We also strictly prohibit any discrimination, retaliation, or harassment against any person who participates in an investigation of such complaints.
